The Internet eXchange
Point of Nigeria. (IXPN) is a company limited by guarantee, see the
company's Memorandum
& Articles of Association.
Membership of IXPN and connection to any of the IXPN facilities or use
of its services is formalised by the signing of the Memorandum of Understanding
(MoU) and the
Mandatory
Multi-Lateral Peering Agreement MMLPA.
Changes to the MoU and
other governance documents as listed in clause 16.1 of the MoU, can be
modified only by ordinary resolution of the company in a general
meeting, IXPN shall not unilaterally modify these documents without a
resolution passed at a formal general meeting.
The day-to-day running of
IXPN is carried out by the IXPN Chief Executive Officer and IXPN staff,
while the affairs of IXPN are overseen by the board.
The governing law of this
MoU is that of the Federal Republic of Nigeria, and jurisdiction
recognised is that of the Nigerian courts.
